Hotel furniture orders are large, customised and slow to replace. That combination makes the commercial framework as important as the design. The aim is not to win concessions but to make the process predictable for both sides.
This is general trade practice, not legal advice — terms vary by country and project size, so confirm details with your bank and legal advisor.
T/T with deposit. A deposit on order and the balance before shipment is the most common arrangement. It is simple, but the balance is released before you have seen the goods.
Letters of credit. L/C at sight or with a usance period shifts some protection to the buyer through bank documentation. Costs and paperwork are higher.
Documents against payment. The bank releases documents on payment, giving a measure of control at the shipping stage.
Open account. Reserved for long-standing relationships and supported by credit insurance or trade cover.
Inspection-linked release. Where possible, tie a portion of the balance to a passed pre-shipment inspection.
Each structure moves risk between buyer and seller. Choose the one that matches the size of the order and your experience with the supplier.
Specification attached as a controlled annex — with version numbers, so change is deliberate.
Delivery dates and milestones, not just a final date.
Inspection rights. Who inspects, against what standard, and at which point.
Delay provisions and how they are calculated.
Packaging, marking and documentation requirements.
Warranty, spare parts and after-sales obligations, referencing the agreed terms.
Change-order process for specification changes after the order.
Governing law and dispute resolution mechanism.
Acceptance criteria, so "delivered" has a definition both sides accept.
Tie payments to verifiable milestones, not calendar dates alone.
Keep a retention balance until inspection and delivery are complete.
Put the agreed specification and drawings inside the contract, not in email history.
Record every change in writing, dated and signed.
Keep the communication trail — it is the evidence base for any claim.
We sign clear specifications and support inspection-linked terms. Ask us for a sample order framework when you request a quotation.
